The specific scope of services will be defined in individual service agreements or contracts between QIHETAO and the client.

Unless otherwise specified in a separate agreement, intellectual property rights in deliverables created by QIHETAO will be transferred to the client upon full payment for the services.

5. Payment Terms

5.1 Fees and Charges

Fees for our services will be specified in individual service agreements or quotes. All fees are quoted in Chinese Yuan (CNY) unless otherwise specified.

5.2 Payment Schedule

Payment terms will be outlined in the service agreement. Unless otherwise agreed, invoices are due within 30 days of issuance.

5.3 Late Payments

Late payments may be subject to interest charges and may result in suspension of services until payment is received.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship.

Confidential information includes, but is not limited to, business plans, technical data, customer information, and any other information designated as confidential.

7. Warranties and Disclaimers

7.1 Service Warranty

QIHETAO warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QIHETAO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from or related to our services shall not exceed the total fees paid by you for the specific services giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless QIHETAO and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

10. Termination

Either party may terminate the service relationship in accordance with the terms specified in the applicable service agreement.

We reserve the right to suspend or terminate your access to our services immediately if you violate these Terms or engage in any conduct that we determine to be harmful to our business or other users.

Upon termination, you must pay for all services rendered up to the date of termination.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.

Any disputes arising from or related to these Terms or our services shall be resolved through friendly negotiation. If negotiation fails, disputes shall be submitted to the competent court in Wanning City, Hainan Province, China.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and QIHETAO regarding the use of our services and supersede all prior agreements and understandings.
